Introduction
Interpretation
This Agreement is a legal contract between You, either an individual or a legal entity ("You" or "Your"), and Shram Insights Pvt. Ltd. ("Shram"), governing your use of Shram's suite of online work management tools. By accessing or using Shram's services, you agree to be bound by the terms of this Agreement.
Parts of this Agreement
General Terms: These encompass the core terms and conditions applicable to all Shram services.
Service Specific Terms: Additional terms specific to particular services offered by Shram. In cases of conflict, Service Specific Terms will take precedence over General Terms.
Acceptance of the Agreement
You affirm that you are of legal age to form a binding contract. If you do not agree to these terms, you must not use Shram's services. Acceptance of this Agreement is indicated by your use of Shram services, by checking a checkbox or clicking a button during the sign-up process.
Description of Service
Shram provides cloud-based work management and collaboration services, both in online and offline formats. The service is intended for your personal, business, or internal organizational use. You are responsible for ensuring your access to the Internet and necessary equipment.
Beta Service
Some services might be offered as Beta for testing and evaluation purposes. You acknowledge that these services are experimental and may be subject to change or discontinuation. Shram will not be liable for any harm related to the modification or discontinuation of Beta Services.
Free Trial
Should Shram offer a free trial, the services will be provided without charge until the end of the trial period. Trial services are provided "as-is" without warranties. You are encouraged to save or export your data before the end of the trial period to avoid loss.
User Sign-up Obligations
You agree to provide true, accurate, and complete information during the sign-up process and to update this information to maintain its accuracy. Shram reserves the right to suspend or terminate accounts with incorrect or misleading information.
Restrictions on Use
You shall not misuse the services, including unauthorized sharing, modification, or reverse engineering. You agree to comply with all applicable laws and regulations and not to infringe on the rights of third parties.
Third Party Applications
Shram's services may interact with third-party applications, for which separate terms may apply. You are responsible for reviewing and agreeing to those terms. Shram is not liable for any third-party applications or their content.
Fees and Payments
Details about the subscription plans, including payment methods, renewal policies, and refund policies, are outlined. Shram reserves the right to modify pricing, which will be effective upon your next billing cycle.
Organization Accounts and Administrators
When you create an organization account, you may designate one or more administrators who have the authority to manage and configure the services based on your organization's needs. These administrators will manage user access and internal use of the services within your organization. It is your responsibility to ensure the confidentiality of your organization account, appoint competent individuals as administrators, and ensure that all activities under your account comply with this Agreement.
Personal Information and Privacy
Shram commits to protecting your personal information as per its detailed Privacy Policy. This includes provisions for the collection, use, and disclosure of personal data. You are responsible for maintaining the confidentiality of your username, password, and other sensitive information. Shram is not liable for losses incurred due to unauthorized use of your account, and you are obligated to inform Shram promptly about any such unauthorized use.
Communications from Shram
You will receive essential communications from Shram, such as service announcements and administrative messages, which are considered part of the service. While you may opt-out of receiving newsletters and other non-essential communications, service-related announcements are mandatory.
Inactive User Accounts Policy
Shram reserves the right to terminate accounts that remain inactive for an extended period (e.g., 30 days). Prior notice will be given before any termination, and you will be given the opportunity to back up your data. The policy for data deletion in case of inactive accounts will be clearly outlined.
User Generated Content
You bear full responsibility for any content you create, transmit, or publish using Shram's services. This includes compliance with legal standards and respect for intellectual property rights. Shram reserves the right to remove content that violates these standards or the rights of others.
Disclaimer of Warranties
Shram provides its services on an "as is" and "as available" basis. This section clearly states that Shram disclaims all warranties, express or implied, to the extent permitted by law. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
Shram will not be responsible for any indirect, incidental, special, consequential, or punitive damages resulting from the use of its services.
Indemnification
You agree to indemnify and hold harmless Shram and its affiliates, officers, agents, employees, and licensors from any claim or demand made by any third party due to or arising out of your use of the services, your violation of this Agreement, or your violation of any rights of another.
Governing Law and Jurisdiction
The Agreement will be governed by the laws of the jurisdiction in which Shram is based. This section specifies that any disputes arising out of the Agreement will be resolved in the courts of that jurisdiction.
Suspension and Termination
Shram reserves the right to suspend or terminate your access to the services for reasons including, but not limited to, breaches of this Agreement, requests from law enforcement or other government bodies, or unexpected technical issues.
Modification of Terms of Service
Shram may modify these terms at any time. This section outlines the process for notifying users of such changes and the implications of continued use of the services after modifications.
